In the United Arab Emirates, opportunity is vast as the visionary leadership is promulgating the country into the future at a rapid pace. The UAE has economically grown over the past several years and continues to be a land of economic prosperity for businesses, no matter the size.
The UAE has focused on development by opening up new opportunities and easing trade restrictions. Dubai has grown quickly and has turned into a significant hub for both domestic and international trade. Several investors are interested in the establishment of businesses and companies in the emirate.
The entrepreneurs who decide to incorporate are the ones who lack knowledge about the legal requirements for forming a corporation. A few of them even enter the ruthless business without protecting their legal groundwork. Therefore, in order for these business owners to manage company establishment and other related procedures with ease, incorporation lawyers are crucial.
Dubai, as a global business hub, attracts investors and entrepreneurs from all corners of the world. However, with opportunities come disputes, and resolving these disputes through litigation or alternative dispute resolution (ADR) mechanisms is essential for business continuity. The United Arab Emirates (UAE) offers a robust legal framework that includes both federal and local judicial systems, providing a range of dispute resolution options.
At Dubai Lawyers, we specialize in litigation and dispute resolution services, helping individuals and businesses navigate the complexities of UAE law. Whether you’re involved in a civil, commercial, or financial dispute, our experienced legal team provides the highest standard of representation, ensuring that your interests are fully protected. We are experts in local and international law and offer affordable legal solutions for both onshore and offshore disputes in Dubai.
The federal system and the domestic system make up the UAE’s dual judicial systems. The federal system is the highest legal body in the United Arab Emirates and is supervised by the federal courts. However, the domestic courts in each emirate are in charge of overseeing the domestic system.
Both onshore and offshore jurisdictions are part of the UAE judicial system. The latter has just two courts, the Court of the Dubai International Financial Centre (DIFC), and the Courts in Abu Dhabi namely known as Abu Dhabi Global Markets (ADGM), of which apply common law. The former is governed by the civil law system.
Each emirate is free to choose which system to adhere to under the constitution. The emirates of Abu Dhabi, Dubai, and Ras Al Khaimah have chosen separate legal systems, whereas the emirates of Sharjah, Umm Al Quwain, Fujairah, and Ajman exclusively use the federal court system.
Regarding the federal courts’ authority, Section 5 of Articles 99 and 102 of the UAE constitution discusses the federal courts’ authority, which includes, among other things, deciding various disputes between the union’s member emirates, determining whether union laws are constitutionally valid, and interpreting the constitution’s provisions. The aforementioned articles do not provide the federal courts exclusive jurisdiction to adjudicate on disputes pertaining to them.
Litigation refers to the process of resolving disputes through the courts. In Dubai, litigation can occur in both onshore and offshore jurisdictions, each governed by different legal systems.
The UAE’s onshore legal system is based on civil law principles, similar to those found in many European countries. The onshore courts handle a broad range of disputes, including commercial, civil, and family matters. They operate under a three-tiered system:
The onshore courts in Dubai have jurisdiction over civil disputes, including employment matters, property disputes, and business contract disagreements.
Dubai has two prominent offshore jurisdictions that operate under common law principles:
Offshore courts offer an alternative to traditional litigation in civil law-based onshore courts. They are often favored in commercial cases due to their familiarity with international business practices and swift resolution.
In the UAE, each emirate has the flexibility to choose between the federal judicial system or operate its local judicial system. The emirates of Dubai, Abu Dhabi, and Ras Al Khaimah have their own local court systems, whereas others, such as Sharjah and Fujairah, use the federal courts.
Litigation in Dubai involves several key stages, whether in onshore or offshore courts. Understanding these stages can help businesses and individuals prepare for the legal process.
Before initiating litigation, it is crucial to seek legal advice. At Dubai Lawyers, our team conducts thorough assessments of the case, gathering evidence, evaluating the strengths and weaknesses, and determining the best legal strategy. In some cases, disputes may be resolved through negotiation or mediation before reaching the court stage.
If no resolution is reached through alternative means, a formal lawsuit is filed in the appropriate court. The plaintiff must submit all relevant documents, contracts, and evidence to support their claims. The defendant is then notified of the lawsuit and has the opportunity to respond.
Once the case is before the court, both parties present their arguments, submit evidence, and may call witnesses. The Court of First Instance will review the case and issue a judgment based on the merits.
If either party is dissatisfied with the outcome, they may appeal the decision to the Court of Appeal, where the case will be reviewed again. Appeals focus on the legal grounds of the case, and parties must provide justifications for why the original judgment was incorrect.
The final step in the litigation process is an appeal to the Court of Cassation (or the Federal Supreme Court for federal cases), which handles questions of law rather than reexamining the facts of the case.
While litigation remains a primary method of resolving disputes in Dubai, there are several alternative dispute resolution (ADR) mechanisms available to businesses and individuals, often providing faster and more cost-effective solutions.
Arbitration is a preferred method for resolving commercial disputes, especially in international contracts. It involves a neutral third party (the arbitrator) who hears both sides and delivers a binding decision. Arbitration is widely used in sectors such as construction, real estate, and financial services.
Arbitration is often chosen for its confidentiality, speed, and the expertise of arbitrators in specific industries.
Mediation is a non-binding dispute resolution process where a neutral mediator helps the parties negotiate a mutually acceptable solution. Mediation is often used for family disputes, business disagreements, and employment matters.
Conciliation is similar to mediation but typically involves a more proactive role from the conciliator, who may suggest solutions or offer opinions on the case. Conciliation can be an effective way to resolve commercial disputes without the need for lengthy litigation.
Our legal team at Dubai Lawyers has extensive experience in arbitration, mediation, and conciliation, helping clients resolve disputes outside of the courtroom to save time, costs, and maintain relationships.
After a court issues a judgment, it must be enforced. In Dubai, enforcement is carried out by the Execution Court, which ensures that the court’s decision is implemented.
For judgments issued by UAE courts, enforcement is straightforward. If the losing party fails to comply, the Execution Court can take measures such as seizing assets, freezing bank accounts, or even imprisonment in some cases.
For judgments issued by foreign courts, enforcement in Dubai is subject to reciprocity agreements or bilateral treaties. The UAE Civil Procedure Code outlines the process for recognizing and enforcing foreign judgments, ensuring that international litigants can seek justice in Dubai.
Three tiers of litigation are used in UAE that’s onshore courts under both federal and local systems: (a) the court of first instance (for both federal and local cases); (b) the court of second instance (appeal) (for both federal and local cases), which examines it again in the case on its merits that are on the grounds that the losing party may use to rescind the first instance court’s judgment; and (c) the court of the third tier (the Federal Supreme Court for federal cases, and the Court of Cassation for local courts). Court rulings are final and cannot be challenged further.
Regarding the offshore courts, the DIFC courts are competent in hearing cases involving the DIFC and its operations, including civil and commercial issues. They can also hear cases involving any other disagreement that the parties may accept in writing to be heard by the DIFC courts. The appropriate external local authority should be consulted in any criminal matters, as the DIFC courts lack criminal jurisdiction.
In terms of territorial (domestic) jurisdiction, cases in which the defendant resides in the United Arab Emirates are typically under the jurisdiction of the onshore courts. The court in the defendant’s residence or place of employment will have jurisdiction if the defendant is not in the United Arab Emirates.
In addition to the aforementioned basic rule, the law has designated some courts as competent for particular claims or disputes and has occasionally provided the claimant with a choice of different competent courts.
For tort claims, for instance, the plaintiff may bring the case before the court housed in the same jurisdiction as the incorrect activity occurred. When it comes to business disputes, the court that has jurisdiction is the one where the transaction was intended to be carried out, whether fully or partially, or where the agreement took place.
